COMPANIES
THERE ARE 5 MAIN DUTIES
1. Mercantile Registry Renewal
Every merchant and/or company has the obligation to annually renew the Commercial Registration and that of its commercial establishments. This must be carried out within the first three months of the year, i.e., no later than March 31, 2026.
2. Holding Ordinary Meetings.
Every company must summon to an ordinary meeting of its Board of Directors (if applicable) and, subsequently, of the Shareholders General Assembly or Quota-holders Board, as the case may be, within the time agreed upon in its bylaws, or the first three months of the year, if the bylaws are silent in this regard.
in order to review the companies’ situation, elect legal representatives, approve financial statements of the previous fiscal year along with the management’s reports, grant dividends, appoint legal representatives and statutory auditors, among other topics.
3. Financial Information Filing
3.1 Financial Statements
A copy of the Financial Statements must be deposited with the Chamber of Commerce within one month of the date on which they are approved at the ordinary meeting.
This, unless the company is under the surveillance or control of the Superintendence of Companies, or if the company is under inspection but it was required by the entity to file this information by means of an official order. In these cases, the information must be submitted before the Superintendence of Companies.
For the three cases mentioned above, the Superintendence of Corporations will inform each company individually and by means of an administrative act, the dates for the presentation of the Financial Statements and additional information.
Companies must be attentive to:
- To receive this administrative act to the notification e-mail, which they have registered in the commercial registry, and;
- Verify in the following link https://www.supersociedades.gov.co/ in the section “consultation of required companies – court 2025”.
In any case, the Superintendence of Corporations has already published the date by which this information must be submitted:

3.2 Consolidated or Combines Financial Statements
In addition to submitting year-end financial statements to the Superintendence of Corporations in accordance with section 3.1, the parent or controlling company, or the subsidiary in charge of combining local financial information, must prepare and submit consolidated or combined general purpose financial statements, as applicable.
The consolidated or combined financial statements must be submitted no later than the last business day of the month of May, that is, May 29, 2026.
3.3 Report 08 – sustainability Report
This is a voluntary obligation for the following entities:
A. Controlled or supervised companies with total income or assets equal to or greater than 40,000 SMMLV, according to the year of cut-off.
B. Supervised or controlled entities that belong to the following sectors and that have received total income equal to or greater than 30,000 SMMLV.
- Mining-energy
- Manufacturing
- Construction
- Tourism
- ICT
- New technologies
The dates for submission of Report 08 – Sustainability Report in 2026 are as follows:

3.4 Surveilled or controlled companies under voluntary liquidation or that do not comply the ongoing concern hypothesis:
Surveilled or controlled entities undergoing a voluntary liquidation process or that do not comply the ongoing concern hypothesis, must submit Report No. 04 and the additional documents before the last working day of May, i.e. May 29st, 2026.
3.5 Exclusion from submitting financial information.
The companies under inspection that (i) have been required to do so and are supervised by another superintendency, (ii) are in a dissolution event due to non-compliance with the Going Concern Hypothesis or (iii) are in the process of voluntary liquidation at the end of the financial year, must report this situation to the Business Reports group by e-mail at webmaster@supersociedades.gov.co, prior to the expiry of the deadlines set for submitting the information, in order to be excluded from submitting the Financial Statements.
4. Registration of Corporate Control and/or Business Groups.
Whenever a Corporate Control situation arises, or a Business Group of Companies is formed, there is a mandatory registration to be made at the Mercantile Registry, within the following 30 days of its conformation.
Once a Business Group is registered there is no need to register a Corporate Control Situation as well. Any change in a Control Situation or Business Group Situation must be registered within the same term mentioned above.
5. BIC Report
Each commercial company that adopted the BIC status must prepare and submit to the maximum corporate body the BIC Management Report.
The BIC Management Report must be (i) prepared by the legal representative of the company, (ii) included in the management report at the end of the fiscal year, and (iii) present the development of the activities included in its corporate purpose.
By filling out Report 67, BIC companies must submit the following information to the Superintendence of Companies:
- Copy of the BIC Management Report.
- Excerpt of the minutes of the highest corporate body where the BIC Management Report was presented and approved.
- Evidence of having published the BIC Management Report on the company’s website, or if the company does not have a website, that it is available at the company’s domicile.
This information must be sent no later than May 31st, 2026.
BRANCHES OF FOREIGN COMPANIES
Branches of foreign companies established in Colombia must comply with the following corporate obligations based on current mercantile regulations. THERE ARE 3 MAIN DUTIES:
1. Mercantile Registry Renewal
Every branch of a foreign company has the obligation to annually renew his or her Commercial Registration. This renewal must be carried out within the first three months of the year, i.e., no later than March 31, 2026.
2. Financial Information Filing
2.1 Financial Statements
The Branches of Foreign Companies must deposit a copy of the Financial Statements before the Chamber of Commerce.
This, unless the branch is under the surveillance or control of the Superintendence of Companies, or under inspection of the Superintendence, and has been specifically required by the entity to file financial information.
For the three mentioned cases, the Superintendence of Companies will inform individually, the deadline to file the Financial Statements and the additional information by means of an official order.
Branches must be attentive to:
- Receive this administrative act at the e-mail address for service of process purposes reported with the mercantile registry, and
- check on the following link https://www.supersociedades.gov.co/ in the section “consulta de sociedades requeridas-corte 2025” (consultation of required companies – 2025 cut off).
However, the Superintendence has already published the date by which this information must be submitted:

2.2 Combined Financial Statements
This duty is for Branches of Foreign Companies obliged to prepare combined Financial Statements (pursuant to the Superintendence of Companies’ regulation) that must also submit financial information before the Superintendence of Companies in the terms of point 2.1. of this document.
The combined Financial Statements must be filed before last working day of May, i.e. May 29st, 2026.
Documents in addition to the Combined Financial Statements shall be submitted within two (2) working days after the latest date of submission of the Combined Financial Statements.
2.3 Surveilled or controlled companies under voluntary liquidation or that do not comply the ongoing concern hypothesis
Surveilled or controlled entities undergoing a voluntary liquidation process or that do not comply the ongoing concern hypothesis, must submit Report No. 04 and the additional documents before the last working day of May, i.e. May 29st, 2026.
2.4 Exclusion from submitting financial information.

COLOMBIAN NON-PROFIT ORGANIZATIONS
SON 3 OBLIGACIONES PRINCIPALES:
1. Mercantile Registry Renewal
Every Non-Profit Organization registered with the Chamber of Commerce has the obligation to annually renew the Commercial Registration and that of its commercial establishments. This must be carried out within the first three months of the year, i.e., no later than March 31, 2026.
2. Holding an Ordinary Meeting
Each Non-Profit Organization must summon to an ordinary meeting of its Highest Executive Body, within the first three months of the year or the term established in its bylaws to consider the annual financial statements and management reports, appoint legal representatives and statutory auditors, among other matters.
3. Financial Information Filing
Non-Profit organizations must submit financial information, management reports, budget reports, among others, according to the dates established by the authority or entity that exercises the inspection, surveillance or control over its activities.
It is important to mention that such date generally takes place during the first semester of the year.
FOREIGN NON-PROFIT ORGANIZATIONS
THERE ARE 2 MAIN DUTIES:
1. Mercantile Registry Renewal
Every Foreign Non-Profit Organization has the obligation to annually renew the Commercial Registration and that of its commercial establishments. This must be carried out within the first three months of the year, i.e., no later than March 31, 2026.
2. Submission of Financial Information to the Superintendence of Companies
Pursuant to Decree 0326 of 2023, the Superintendence of Companies is the authority in charge of exercising inspection, supervision, and control over foreign non-profit entities with presence in Colombia.
In exercise of these powers, the Superintendence of Companies established the calendar for the submission of the financial information corresponding to the 2025 fiscal year, which must be filed during 2026, in accordance with the deadlines set forth below.
